These Terms of Use (“Terms”) are a legally binding agreement between you (“you” or “user”) and XZero Labs Private Limited (“XZero Labs”, “we”, “us” or “our”), a company incorporated in India with its registered office at Bengaluru, Karnataka, India, governing your use of the SayNo mobile application and related services (together, the “App”).
By downloading, accessing or using the App, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the App.
1. Eligibility
The App is intended only for users who are 18 years of age or older and resident in India. By using the App, you confirm that you meet this requirement. The App is not directed to, and must not be used by, anyone under 18. If we learn that a person under 18 is using the App, we may suspend or terminate their access and delete related data.
2. What the App does
The App is a security tool that helps you identify potential scams, fraud, phishing, malicious QR codes, unsafe files and related threats. Its features may include SMS scam detection, QR-code scanning, screen-sharing/recording alerts, analysis of messages you submit from chat apps, malicious-file analysis, and an on-device analytics dashboard. Features vary by platform and device and may change over time.
What the App is not: the App is an aid to your own judgement. It does not block, intercept, delete or manage your messages, calls or payments, and it does not act on your behalf. You remain responsible foryour own decisions.
3. The App is advisory — no guarantee of accuracy
Please read this section carefully
No scam-detection technology is perfect. The App may sometimes classify a genuine message, code or file as suspicious (a “false positive”) or fail to detect a real threat (a “false negative”). The App's results are indicative only and are provided to assist — not replace — your own care and judgement.
You should not rely solely on the App to decide whether any message, link, payment, QR code, file, caller or website is safe. Always exercise independent caution, and verify through official channels before acting on anything involving money or sensitive information.
4. No professional advice
The App and any insights it provides (including the analytics dashboard) are for general awareness and security purposes only. They do not constitute financial, investment, legal, tax, accounting or professional security advice, and must not be relied upon as such. For advice specific to your situation, consult a qualified professional.
5. Your responsibilities and acceptable use
You agree to use the App lawfully and only for its intended security purposes. You must not:
Use the App for any unlawful, harmful, fraudulent or infringing purpose;
Submit content you have no right to submit, or that contains another person's personal data without a lawful basis;
Attempt to reverse-engineer, decompile, interfere with, overload, or gain unauthorised access to the App or our systems;
Upload content with the intent of harming our systems, or knowingly distribute malware except a genuine file you are submitting for the App's malicious-file analysis;
Resell, sublicense or commercially exploit the App or its outputs without our written permission;
Use the App to build a competing product or to scrape or extract our data or models.
You are responsible for keeping your device secure and for the accuracy of anything you choose to submit.
6. Permissions and consent
Some features require device permissions (for example, SMS access on Android for scam detection, and camera access for QR scanning). We ask for these in-context and explain why. You may grant or deny each permission and change your choice in your device settings; denying a permission disables the related feature but not the rest of the App. On iPhone, SMS scam detection works through Apple's Message Filter feature, which you enable in iOS Settings and which applies only to messages from unknown senders. How we handle data is described in our Privacy Policy.
7. Malicious-file analysis
If you use the malicious-file analysis feature, you submit files at your own risk and confirm you are entitled to submit them. We analyse files for security purposes only and do not retain them after analysis. A result indicating a file appears safe is not a guarantee that it is safe, and a result indicating risk is not a definitive determination. Do not open or install any file you suspect is unsafe, regardless of the App's output.
8. Intellectual property
The App, including its software, models, design, text, graphics and trademarks, is owned by or licensed to XZero Labs and is protected by law. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the App for your own non-commercial security purposes. All rights not expressly granted are reserved. You retain any rights you have in the content you submit; you grant us a limited licence to process that content solely to provide the App's features, consistent with our Privacy Policy.
9. Third-party content, links and services
The App may analyse or surface third-party content (such as links, senders, files or QR destinations) and may rely on third-party infrastructure. We do not control and are not responsible for third-party content, websites, senders or services, and their inclusion is not an endorsement. Your dealings with any third party are solely between you and that third party.
10. Availability, changes and beta features
We may modify, suspend, add or remove features, or discontinue the App, at any time, with or without notice. We may offer features on a trial or “beta” basis; these are provided “as is” and may be changed or withdrawn. We do not guarantee the App will be uninterrupted, error-free, or available at all times.
11. Disclaimer of warranties
To the maximum extent permitted by law, the App is provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. We do not warrant that the App will detect all scams or threats, that its results will be accurate or complete, or that it will meet your requirements. This section does not exclude any warranty or right that cannot be excluded under applicable Indian law.
12. Limitation of liability
To the maximum extent permitted by law, XZero Labs and its directors, employees and service providers will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of money, data, profits, goodwill or opportunity, arising from or related to your use of (or inability to use) the App or reliance on its results — including any scam, fraud or loss the App did not detect or wrongly flagged.
To the maximum extent permitted by law, our total aggregate liability arising out of or relating to the App or these Terms will not exceed the greater of the amount you paid us for the App in the 12 months before the claim. Nothing in these Terms limits liability that cannot be limited under applicable Indian law.
13. Indemnity
You agree to indemnify and hold harmless XZero Labs and its personnel from any claims, losses, liabilities and expenses (including reasonable legal fees) arising from your misuse of the App, your breach of these Terms, or your violation of any law or third-party right.
14. Suspension and termination
We may suspend or terminate your access to the App at any time if you breach these Terms or use the App in a way that may cause harm or legal risk. You may stop using the App and uninstall it at any time. Sections that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnity and governing law) will survive.
15. Governing law and dispute resolution
These Terms are governed by the laws of India. Subject to any non-waivable rights you have as a consumer, the courts at Bengaluru, Karnataka will have exclusive jurisdiction over any dispute arising out of or relating to the App or these Terms.
16. Changes to these Terms
We may update these Terms from time to time. We will change the “Effective date” above and, for significant changes, provide a more prominent notice in the App. Your continued use of the App after changes take effect means you accept the updated Terms.

We aim to acknowledge complaints promptly and to resolve them within 90 days.
18. General
Entire agreement: these Terms and the Privacy Policy are the entire agreement between you and us regarding the App.
Severability: if any provision is held unenforceable, the rest remain in effect.
No waiver: our failure to enforce a provision is not a waiver of it.
Assignment: you may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or reorganisation.
Notices: we may provide notices through the App or by other reasonable means.

By using the App, you acknowledge that you have read, understood and agree to these Terms of Use.
